Internal Server Error -with Module Loader or Upgrade Wizard

Suger Suite: 4.5.1
Webserver: Apache 1.3.37
PHP: 4.4.4
MySQL: 4.1.21

Any time I go to Module Loader or Step 2 in Upgrade Wizard I am getting an Internal Server Error.

Any Clues on how to fix this?

What's the error? Apache should record this in the error_log file.
Also, make sure that you're apache user has write permissions to the proper folders & files.
